Michael D. Bryan is a partner and practices in the firm's Charleston and Atlanta offices in the areas of corporate and securities law, mergers and acquisitions, and finance, concentrating on the agriculture and energy industries. He is the co-chair of the firm's Sustainable Energy Group and advises clients on matters related to corporate governance, securities compliance and reporting requirements, exchange listing standards, government incentives, joint ventures, licensing, acquisitions, divestitures, other corporate transactions, private equity, and debt and equity offerings.

Mr. Bryan has extensive experience in corporate governance matters, securities compliance for public companies and corporate transactions, and corporate finance as well as municipal finance. Mr. Bryan was affiliated with Monsanto Company from 1997 to 2003, where he served as Associate General Counsel for Corporate Governance. While at Monsanto, he was responsible for legal matters relating to corporate law, the board of directors, securities law compliance, mergers and acquisitions, treasury management and executive compensation.  He was actively involved in numerous transactions for Monsanto, including the spin-off of Solutia, Inc., the acquisition of the international seed business of Cargill, Incorporated in 29 countries worldwide, Monsanto's merger with Pharmacia & Upjohn, Inc., and the initial public offering of the new Monsanto Company following that merger.
 
Admitted to practice in South Carolina and Georgia, Mr. Bryan is a member of the American Bar Association, the Society of Corporate Secretaries and Governance Professionals, the Charleston County Bar Association, the Palmetto Biotech Alliance and the Council for Entrepreneurial Development.
 
Mr. Bryan earned a Juris Doctor from the University of Kentucky College of Law in 1983, and a Bachelor of Business Administration in Finance from the University of Kentucky in 1980.
