Brian S. Galison is a partner of Nelson Mullins Riley & Scarborough LLP in the Atlanta office, where he practices corporate and securities law with an emphasis on mergers and acquisitions and venture capital transactions. His practice also includes private placement and public offering transactions for companies, private equity firms, and investment banks. Mr. Galison’s corporate clients range from emerging companies focusing on, among others, the technology, media, advertising and financial services industries to private and public middle-market companies focusing on, among others, the construction, manufacturing, health care, defense, technology and financial services industries.
Mr. Galison’s transactional and securities practice focuses on the middle market in the areas of: buy- and sell-side mergers and acquisitions (including leveraged transactions), representing both foreign and domestic companies and private equity investors on both domestic and international transactions ranging from $1.5 million to nearly $1 billion; early, middle, and late stage financings, representing companies, investment banks, and investors on equity and debt issuances ranging from $500,000 angel-round financings to $400 million 144A financings; and representing investment banks in various corporate and securities law matters including the negotiation of fairness opinions and special committee matters.
Mr. Galison’s general corporate practice includes: organizing and forming corporations and limited liability companies; executive employment agreements; employee invention assignment, non-competition, and non-solicitation agreements; stock option and other incentive compensation plans; and other general corporate governance matters.
Mr. Galison developed his practice while serving as an associate to O’Melveny & Myers LLP (f/k/a O’Sullivan LLP) in New York, and another large firm headquartered in Atlanta.
In 2011, The M&A Advisor recognized Mr. Galison nationally as a top "40 Under 40" advisor in the mergers and acquisitions practice area. In 2010, Georgia Super Lawyers magazine selected Mr. Galison as a Georgia “Rising Star.”
Mr. Galison earned his Juris Doctor, with honors, from Emory University School of Law. He earned a Bachelor of Arts from the University of Michigan. Mr. Galison has also served as an adjunct professor teaching Venture Capital Law at Emory University School of Law.
