Brennan Ryan is a partner of the Corporate and Securities Group of Nelson Mullins Riley & Scarborough LLP in Atlanta where he practices in the areas of banking law and corporate and securities law, with a specialty in corporate finance related activities. Mr. Ryan provides strategic counseling to a broad range of clients ranging from “inflatable” charter and de novo banks, to start-up technology and services companies and billion dollar public entities. Services relate primarily to:

  • Financial institution specialty capital activities
  • Private capital financings (equity and debt)
  • Public capital financings (equity and debt)
  • Single company sale transactions
  • Multi-company acquisition strategies for large corporate entities

A broad range of Mr. Ryan’s recent transactions include:

Private/Public Capital Financings: M&A Transactions:
  • Represented issuers and investment bankers in over 40 separate financial institution capital transactions (public and private) between 2003 and 2010 with total capital raised in excess of $2 billion (including speciality in failed bank acquisitons and financings)
  • State Bank & Trust equity raise of approximately $300 million to finance purchase of failed bank assets from FDIC
  • First Michigan Bancorp equity raise of approximately $200 million to finance purchase of failed bank assets from FDIC
  • Software-As-A-Service (SAAS) provider in $105 million equity recapitalization with Goldman Sachs
  • Sale of internet media company in excess of $200 million
  • AkzoNobel, a publicly traded Netherlands–based company, in acquisitions of several chemical and coatings companies located in the United States
  • Innovation Interactive sale to Dentsu
  • First Community Bank in public acquisition by Atlantic Southern Financial Group
  • Intec Telecom Systems, a publicly traded U.K. company, in acquisitions of 5 separate telecom software companies located throughout the world.
  • Purchase of certain assets of Black Family Channel television network by Gospel Music Channel
  • Sale of publicly-traded InterCept, Inc. to Fidelity National Financial, Inc. for approximately $400 million
  • Sale of Facebook “widget” company to venture-backed entity

Mr. Ryan is a member of the firm’s Financial Institutions and the Private Equity and Venture Capital Group. He is a member of the American Bar Association and the Community Bankers and Georgia Bankers Associations. Mr. Ryan was recently named as a Rising Star by the Georgia Super Lawyers in the securities and corporate finance category. This honor was based on surveys sent to more than 23,500 attorneys in Georgia, who were asked to vote for the best lawyers they had personally observed in action.

Mr. Ryan was affiliated with a leading Florida law firm before joining Nelson Mullins. Mr. Ryan serves on the board of directors of a venture-backed ATM service provider to the financial institutions industry.
