Aileen "Allie" L. Nagy is of counsel to the Corporate and Securities Group of Nelson Mullins Riley & Scarborough LLP in Atlanta. Ms. Nagy's practice focuses on corporate, financial services, financial institutions, and securities law.
Ms. Nagy has experience in representing issuers, investment banks, private equity firms and private companies in public offerings, private placements, venture capital financings and other general corporate matters including organizing and forming companies and limited liability companies. She also advises financial institutions on the resolution of regulatory issues, the preparation and filing of annual and quarterly reports, and other securities law issues.
Ms. Nagy’s recent transactions include representation of:
- Issuers and investment bankers in over 10 separate financial institution capital transactions (public and private) with total capital raised in excess of $150 million
- Arlington Partners’ in $4 million investment in private label cosmetics firm
- L6 Holdings in acquisition of a prepaid telecommunications reseller
- Akzo Nobel, a publicly traded Netherlands-based company, in acquisition of several chemical and coatings companies located in the United States
- Akzo Nobel in strategic license and credit arrangement with DCR Systems
In 2005, Ms. Nagy earned a Juris Doctor from Vanderbilt University Law School, where she was named to the Order of the Coif and received the Carl J. Ruskowski Clinical Legal Education Award. While attending law school, she served as a managing editor of the Vanderbilt Law Review and published a note entitled, "Certifying Mandatory Punitive Damages Classes in a Post-Ortiz and State Farm World," 58 Vand. L. Rev. 599 (2005). In 2001, Ms. Nagy earned a Bachelor of Arts degree in Political Science, summa cum laude, from the State University of New York at Buffalo.
Ms. Nagy is a member of the State Bar of Georgia, the American Bar Association, and the Atlanta Bar Association.
